The firm is managing the legal secretarial work of more than 200 companies. Our mission is to prepare the annual shareholders’ meeting, manage the registry of the minutes of the shareholders’ meetings and the share ledger.

We frequently intervene in restructuring transactions (merger, spin-off, transfers of all business’ assets and liabilities) and also in capital investment transactions (share capital increase, issuance of convertible bonds or redeemable bonds).

We advise companies’ directors in the sale of their enterprise (sale of majority stake, LBO, MBO/MBI, sale of goodwill).  We assist them during financial and legal negotiations, notably concerning the articles of the sale agreement or the guarantee of liabilities.
