A good decision is rarely taken alone.

A legal structure is only worth something if it also holds up in accounting, tax, wealth-planning and financial terms. Here is who we work with, and on what terms.

Thirty years of practice between Bayonne and Pau have given us a network of professionals we know personally — not a list of commercial partners, but people we have seen at work, on real and sometimes difficult files.

We earn nothing from it. Fee-sharing with a professional who is not a lawyer is prohibited by the rules of our profession, and we receive neither commission nor referral fee. A recommendation is only worth something if the person giving it has nothing to gain from it.

Chartered accountants

This is the day-to-day partner. They keep the accounts, we handle the legal side, and most decisions are taken between the three of us: choosing the company form on incorporation, weighing salary against dividends before the general meeting, the annual approval of the accounts, preparing a sale. We never replace the accountant of a company that already has one — we work with them. To the others, we introduce two or three, and the choice is theirs.

Notaires

As soon as a property enters the transaction: contributing an asset to a company, splitting ownership into usufruct and bare ownership, a donation-partage of shares, a mortgage guarantee, the transfer of units in a société civile. The coordination between the notarial deed and the private agreement decides the timetable as much as the cost, and is prepared before the appointments are booked.

Wealth management advisers

What happens after the sale is prepared before the sale. The proceeds of a business sale call for choices — reinvestment in a holding company, life assurance, property, splitting ownership in favour of the children — several of which must be settled while the deal is still being negotiated, not once the price has been banked.

Insurers and brokers

Directors’ provident cover and pensions, key-man insurance, professional indemnity, ten-year building warranty, legal expenses cover. A warranty and indemnity is often backed by an insurance policy: it is the broker who sets the cost, and that cost enters into the price negotiation.

Banks, funds and lenders

Financing an acquisition, senior debt, vendor credit, regional development capital funds, honour loans. The firm has dealt with these people for thirty years and knows their criteria; a file presented in the form they expect saves several weeks.

Statutory auditors

Contributions in kind, conversion of a company, crossing thresholds, one-off certificates. Their involvement is sometimes compulsory, sometimes merely useful; in both cases it has to be planned in advance, failing which it delays the transaction by several weeks.

Our network

Six families of partners.

Around a single point of contact at the firm, the skills your file calls for — and only those.

How it works

What we mean by an introduction.

01

We identify what is missing

At the first conversation, we say frankly which skills your file calls for outside the law. Sometimes none.

02

We suggest two or three names

Never just one. You meet them, you compare, you decide. We are not instructed by them and have no interest in your choosing one rather than another.

03

We work together

On complex transactions, we bring the advisers around the table rather than exchanging strings of e-mails. A meeting of four saves a month.

04

The relationship is yours

You contract with them directly. We play no part in their fees or in their engagement, and you remain free to change.

Frequently asked questions

What we are asked most often.

Is there a charge for the introduction?

No, and there cannot be. Fee-sharing between a lawyer and a professional who is not a lawyer is prohibited by the rules of the profession. We receive no referral fee, no commission, no advantage of any kind. That is precisely what makes the recommendation credible: we have nothing to gain from steering you towards one rather than another.

Do we have to change accountants in order to work with you?

Certainly not, and we would advise against it. An accountancy firm that has followed a company for ten years knows more about it than we will learn in six months. We work with yours.

And if we do not yet have an adviser on a subject?

We introduce two or three professionals we know personally, telling you for each what we take to be their strength. You meet them and you decide.

What do you share with them about our file?

Nothing without your agreement. A lawyer’s professional secrecy is a matter of public policy and covers everything you entrust to us; it does not give way to the convenience of an exchange between advisers. In practice, we ask you to authorise us to pass on strictly what is necessary, and we keep to that.

Who runs the file when several advisers are involved?

A lawyer at the firm remains your point of contact and keeps the timetable. That is the main difficulty of transactions with several parties involved: each waits for the other, and nobody holds the date. We take on that role when you entrust it to us.

Do you work with professionals outside the region?

Yes, when the file requires it — international tax, industrial property, litigation before a Paris court. But the bulk of our network is local, because proximity changes the quality of the work done together.

Do you yourselves receive files from these partners?

Regularly, and it works both ways. A significant part of our client base is referred to us by chartered accountants and notaires in the region. This reciprocity gives rise to no financial consideration, in either direction.
